These Terms & Conditions govern the use of the 2D Distribution website, wholesale account application, supplier inquiry forms, product lists, quotes, invoices, orders, buyer portal, and related business services.

By using this website, applying for wholesale access, requesting product information, submitting supplier information, placing an order, or communicating with 2D Distribution, you agree to these Terms & Conditions, along with our Privacy Policy, Disclaimer, Return Policy, and MAP Policy.

1. B2B Wholesale Business

2D Distribution is a business-to-business wholesale distribution company based in Illinois. Our products, pricing, catalogs, quotes, and order opportunities are intended for approved business buyers only.

We do not operate as a traditional consumer retail store.

2. Account Approval

Wholesale pricing and product access may be limited to approved accounts.

2D Distribution may request business information, resale certificates, tax identification details, business licenses, website links, marketplace store links, and other verification documents before approving access.

Submitting an application does not guarantee approval. 2D Distribution reserves the right to approve, reject, suspend, or terminate any account at its discretion.

3. Accuracy of Information

You agree that all information submitted to 2D Distribution is accurate, complete, current, and authorized.

2D Distribution may reject or suspend accounts that provide false, incomplete, expired, misleading, or unverifiable information.

4. Product Information

2D Distribution works to provide accurate product information, including names, images, descriptions, UPCs, packaging, case packs, dimensions, weights, pricing, and availability.

However, product details may change without notice due to supplier updates, manufacturer changes, packaging revisions, inventory conditions, or marketplace requirements.

Buyers are responsible for verifying all product information before listing, advertising, reselling, or distributing any product.

5. Inventory Availability

All inventory is subject to availability.

Product lists, catalogs, quotes, emails, or availability sheets do not guarantee stock reservation unless an order is confirmed and payment is received.

2D Distribution may update pricing, correct errors, adjust quantities, reject orders, cancel unavailable items, or limit product access at any time.

6. Pricing & Quotes

All prices are subject to change without notice.

Quotes are not final unless confirmed in writing by 2D Distribution. Quotes may expire or change due to inventory availability, supplier cost, freight cost, order quantity, or product restrictions.

2D Distribution is not required to honor incorrect, outdated, mistakenly published, or unavailable pricing.

7. Orders & Payment

Unless otherwise agreed in writing, all orders are prepaid.

An order is not final until product availability is confirmed, pricing is confirmed, payment is received, and 2D Distribution accepts the order.

2D Distribution may reject, cancel, or modify orders due to payment issues, stock changes, compliance concerns, supplier restrictions, pricing errors, fraud concerns, or account verification issues.

8. Taxes & Resale Certificates

Buyers are responsible for providing valid resale certificates or tax exemption documents where applicable.

If valid documentation is not provided, 2D Distribution may charge applicable sales tax.

Buyers are responsible for any taxes, duties, fees, or obligations related to their purchase, resale, shipment, or business activity.

9. Shipping & Fulfillment

2D Distribution may use third-party warehouses, logistics providers, freight companies, parcel carriers, and fulfillment partners.

Shipping timelines are estimates unless confirmed in writing. Shipping costs and delivery times may vary based on destination, carrier, warehouse location, order size, product type, and freight conditions.

2D Distribution is not responsible for carrier delays, warehouse delays, incorrect addresses, failed deliveries, weather delays, freight disruptions, or events outside our control.

If an order cannot ship within the expected timeframe, 2D Distribution may contact the buyer with updated timing, cancellation options, refund options, or other available solutions where required.

10. Delivery & Risk of Loss

Buyers are responsible for providing accurate shipping information.

Risk of loss may transfer to the buyer once the order is shipped, tendered to the carrier, or picked up by a buyer-arranged carrier, unless otherwise stated in writing.

11. Returns & Claims

All wholesale sales are considered final unless a return, refund, replacement, or credit is approved by 2D Distribution in writing.

Buyers must inspect shipments immediately upon delivery. Claims for damaged, missing, incorrect, or short-shipped items must be submitted according to our Return Policy.

No return will be accepted without written authorization.

12. Marketplace Seller Responsibility

Buyers selling on Amazon, Walmart, eBay, Shopify, or other platforms are responsible for checking all marketplace rules, brand restrictions, category requirements, listing eligibility, resale permissions, and account requirements before purchasing.

2D Distribution does not guarantee marketplace approval, ungating approval, invoice acceptance, Buy Box eligibility, listing approval, product ranking, profit margin, sales volume, or account health results.

13. Brand, MAP & Resale Restrictions

Product availability from 2D Distribution does not automatically mean the buyer is authorized by a brand or marketplace to sell that product through every channel.

Some products may be subject to brand restrictions, MAP policies, marketplace limitations, supplier rules, or resale restrictions.

Buyers agree to follow all applicable brand, supplier, MAP, marketplace, and resale requirements.

2D Distribution may cancel orders, restrict access, suspend accounts, or terminate business relationships if a buyer violates these requirements.

14. Compliance Responsibility

Certain product categories may require specific labeling, safety documents, testing, expiration control, lot tracking, storage rules, or marketplace compliance.

Buyers and suppliers are responsible for ensuring that products comply with applicable federal, state, local, supplier, marketplace, and industry requirements.

2D Distribution may request documentation where applicable but does not guarantee that any product will meet every buyer’s intended sales channel or compliance requirement.

15. Restricted Products

2D Distribution does not sell vape, nicotine, tobacco, or related age-restricted products under this business.

2D Distribution may restrict or reject additional products, categories, buyers, suppliers, or sales channels based on compliance, ethical, legal, documentation, or business concerns.

16. Confidential Information

Wholesale prices, product lists, inventory sheets, supplier details, quotes, buyer portal access, and business documents provided by 2D Distribution may be confidential.

Buyers and suppliers may not copy, publish, share, distribute, scrape, resell, or misuse this information without written permission.

17. Intellectual Property

All content on the 2D Distribution website, including text, layout, forms, graphics, logos, documents, and business materials, is owned by or licensed to 2D Distribution unless stated otherwise.

Third-party brand names, product names, logos, marketplaces, and trademarks belong to their respective owners and are used for identification purposes only.

2D Distribution is not owned by, operated by, endorsed by, or officially affiliated with Amazon, Walmart, eBay, Shopify, or any other marketplace unless clearly stated in writing.

18. Limitation of Liability

To the fullest extent permitted by law, 2D Distribution is not liable for indirect, incidental, special, consequential, punitive, or business-related losses.

This includes lost profits, lost sales, marketplace account issues, listing removals, brand complaints, product ranking changes, inventory holding costs, carrier delays, supplier changes, pricing changes, or product unavailability.

2D Distribution’s total liability for any order-related claim shall not exceed the amount paid by the buyer for the specific products involved in that claim.

19. Account Suspension

2D Distribution may suspend or terminate account access for reasons including false information, invalid documents, payment issues, chargebacks, fraud concerns, MAP violations, resale violations, marketplace abuse, misuse of invoices, unauthorized sharing of pricing, or abusive communication.

20. Governing Law

These Terms & Conditions shall be governed by the laws of the State of Illinois.

Any dispute related to these Terms, the website, account access, orders, invoices, or business dealings with 2D Distribution shall be handled in Illinois, unless another location is required by applicable law.

21. Updates to These Terms

2D Distribution may update these Terms & Conditions at any time.

Updates may be posted on this website or communicated through buyer notices, emails, invoices, or account updates.

Continued use of the website, buyer portal, product lists, quotes, or services after updates are posted may be considered acceptance of the updated Terms.
